Intevac was founded in 1991. In our Thin-film Equipment business, we are a leader in the design and development of high-productivity, thin-film processing systems. Our production-proven platforms are designed for high-volume manufacturing of substrates with precise thin film properties.



We are actively seeking a Contracts Attorney to join our team. Responsible for conducting the preparation, negotiation, acceptance and management of contracts. You will review and approve all contractual documents for protection of company's contractual posture, satisfaction of government specifications and requirements.

Specific Responsibilities:

  • Manages all activities from proposal submission, negotiation for pricing, terms and conditions, final contract administration and close out.
  • Drafts transactional documents, license agreements.
  • Advises management of contractual rights and obligations and provides interpretation of terms and conditions.
  • Establish and implement corporate policies on terms and conditions and ensure compliance.
  • Review and approve all contractual documents to ensure protection of Company's contractual posture, adherence of company policy and government specifications and requirements and conformance to master agreements.
  • Support proposal preparation.
  • Settle disputes regarding contract interpretation, conditions or compliance with legal requirements.
  • Monitor contract performance for compliance with applicable laws, delivery schedules, payment provisions, funding increases, time extensions, and other contractual requirements.
  • Ensure intellectual property is protected with execution of Non-Disclosures, data rights markings, necessary invention disclosures, and patent filing schedule to maintain maximum patent rights.
  • Assist with government audits and property administration.
  • Oversee Compliance Regulations.
  • Establish and maintain contracting policies and procedures as required.

Desired Skills and Qualifications:

  • Juris Doctorate (JD) from accredited law school
  • Current member of California State Bar in good standing or Registered In-house Counsel in California
  • Certified Professional Contracts Manager
  • Demonstrated experience negotiating contracts
  • Strong communication and negotiation skills
  • Detail-oriented and organized
  • Problem-solving and analytical nature
  • Self-starter who takes ownership of work and demonstrates the ability to work independently and collaboratively with others
  • Be able to prioritize multiple projects, and manage time effectively
  • Great interpersonal skills and ability to work well in fast-paced team environment Commitment to professionalism and collaborative interactions
  • US Citizenship Required
