Job Opportunity:

Berkshire Hathaway Specialty Insurance has an exciting opportunity to join our growing Transactional Liability team in New York City as an M&A underwriter. The Transactional Liability team provides insurance in connection with Mergers & Acquisitions and other transactions, including Representation and Warranty Insurance, Tax Insurance, and Contingent Liability Insurance. In this role, the M&A underwriter will collaborate with our Transactional Liability team to execute Representation and Warranty Insurance deals. Responsibilities will include: exercising good judgement to assess and analyze risks and offer appropriate terms; managing and evaluating due diligence; developing and negotiating transaction agreements; marketing to and building relationships with distribution partners (insurance brokers and law firms) and customers; and proactively responding to changes in the M&A environment that could impact risks.

Duties & Responsibilities:

  • Review transaction materials to understand target company profiles and provide preliminary terms
  • Underwrite M&A transactions in an expedient and thoughtful manner, focusing on the diligence process and scope of representations
  • Draft and negotiate RWI insurance policies
  • Establish, develop and expand broker, law firm and customer relationships
  • Work in a fast-paced environment, multi-task, and make quick decisions while maintaining underwriting integrity; and
  • Maintain awareness of the competitive environment in, and the unique risk profile of, the product line

Qualifications, Skills and Experience:

  • JD degree
  • 3+ years of M&A legal practice (diligence, contract drafting, and negotiation experience preferred)
  • Strong analytical and problem-solving skills
  • Ability to work in a fast-paced environment
  • Careful attention to detail
  • Friendly, proactive and able to work within a team environment
  • Strong communication skills, both verbal and written
